These Terms of Service and Website Terms of Use (the “Terms”) govern your access to and use of the websites operated by 3E USA (collectively, the “Site”), including any content, tools, materials, product pages, manuals, downloads, and other information made available through the Site (collectively, the “Materials”), and any purchases made through the Site.

By accessing, browsing, or using the Site, or by placing an order, you agree to be bound by these Terms. If you do not agree, do not use the Site or purchase products through it.

If you are using the Site on behalf of an entity, you represent and warrant that you have authority to bind that entity to these Terms.

1. Changes to These Terms

3E USA may update or modify these Terms at any time in its sole discretion. The most current version will be posted on the Site with the “Last Updated” date. Your continued use of the Site after changes are posted constitutes acceptance of the revised Terms.

2. Informational Use; Disclaimers About Materials

The Site and Materials are provided for general informational purposes. While 3E USA makes reasonable efforts to ensure accuracy, the Materials may contain technical inaccuracies or typographical errors and may not be complete or current.

  • Product features, specifications, pricing, availability, and descriptions are subject to change without notice.
  • Performance statements and product characteristics assume normal and intended use consistent with product documentation and applicable warranty coverage.
  • Optical and electro-optical products may be affected by operating conditions (including temperature, mounting, host platform, battery condition, and environmental factors). Actual performance can vary.

No Technical Data Commitment. Unless expressly stated by 3E USA in writing, the Materials are not provided as controlled “technical data” or “technology” for export purposes. You are responsible for compliance with all applicable export control laws and restrictions (see Section 11).

THE SITE AND MATERIALS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, 3E USA DISCLAIMS ALL WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, REGARDING THE SITE AND MATERIALS, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

3. Eligibility

You must be at least 18 years old to place an order. 3E USA may require age verification and may refuse service if eligibility cannot be confirmed.

4. Online Orders; Order Acceptance

By placing an order, you are offering to purchase the products you select. 3E USA reserves the right to accept, reject, limit, or cancel any order at any time in its sole discretion, including after a confirmation email has been sent. If an order is canceled after payment, 3E USA will issue a refund to the original payment method in accordance with applicable law and Section 8 (Returns), as applicable.

5. Pricing; Taxes; Payment

Prices displayed on the Site may change at any time. You are responsible for the price in effect at the time you submit your order, plus applicable taxes and shipping/handling charges.

By submitting payment, you represent and warrant that you are authorized to use the selected payment method and that the transaction does not violate any applicable law.

6. Shipping; Delivery

3E USA ships to the address you provide during checkout. You are responsible for providing an accurate shipping address and for all shipping/handling charges shown at checkout.

Delivery dates are estimates only. 3E USA is not responsible for delays caused by carriers, customs, force majeure events, or other circumstances beyond 3E USA’s reasonable control.

Title and risk of loss transfer as described in your order confirmation and/or applicable shipping terms, subject to mandatory consumer protections where applicable.

7. Product Documentation; Proper Use

You agree to use products only in their normal and intended manner and in accordance with all instructions, warnings, and documentation provided with the product. Improper installation, misuse, alteration, or unauthorized service may void warranty coverage and may be prohibited by law.

8. Returns; Refunds

Return eligibility and procedures are governed by 3E USA’s Return Policy posted on the Site (the “Return Policy”), which is incorporated into these Terms by reference.

If no specific Return Policy is posted for a product category, then (unless otherwise stated at purchase) the following applies: eligible products may be returned within [30] days of delivery in original condition, subject to inspection. Shipping/handling charges are non-refundable except where required by law. 3E USA may apply a reasonable restocking fee where permitted and disclosed.

Certain items may be non-returnable (e.g., clearance, discontinued, special order, or other items marked “final sale”).

9. Warranty

Warranty coverage, if any, is provided under the applicable 3E USA warranty policy posted on the Site (including product-specific warranty programs). Those warranty terms govern and are incorporated by reference.

EXCEPT AS EXPRESSLY PROVIDED IN A WRITTEN WARRANTY POLICY ISSUED BY 3E USA, PRODUCTS ARE PROVIDED “AS IS” AND 3E USA DISCLAIMS ALL OTHER WARRANTIES TO THE MAXIMUM EXTENT PERMITTED BY LAW.

10. Buyer Representations

You represent and warrant that:

  1. you will comply with these Terms and all applicable laws;
  2. you are purchasing products for lawful purposes;
  3. you will not resell, export, re-export, transfer, or disclose products, components, software, or technical data in violation of U.S. export control laws or other applicable restrictions; and
  4. you will not use the Site or products to infringe the rights of 3E USA or any third party.

11. Export Control; ITAR/EAR Compliance

Certain products, components, software, and technical data may be subject to U.S. export control laws and regulations, including the ITAR and EAR. Export, re-export, transfer, or disclosure without required authorization is prohibited and may result in civil and criminal penalties.

Your purchase does not authorize export. You are solely responsible for compliance with all export control requirements. 3E USA may refuse, cancel, or restrict any transaction to maintain compliance.

12. Intellectual Property

The Site and Materials, including text, images, graphics, logos, designs, software, and other content, are owned by or licensed to 3E USA and are protected by intellectual property laws.

Except for limited personal and non-commercial viewing, you may not copy, reproduce, distribute, modify, create derivative works from, publicly display, or exploit the Site or Materials without prior written permission from 3E USA.

All trademarks, service marks, and logos on the Site are the property of 3E USA or their respective owners.

13. Prohibited Use

You agree not to:

  • use the Site for unlawful purposes;
  • attempt to gain unauthorized access to systems or accounts;
  • introduce malware or engage in scraping, automated harvesting, or other activity that burdens Site infrastructure;
  • post or transmit content that infringes IP rights, is defamatory, obscene, or harmful;
  • interfere with Site security or operation;
  • misrepresent affiliation with 3E USA.

3E USA may suspend or terminate access to the Site at any time in its sole discretion.

14. User Submissions

If you submit reviews, feedback, images, or other content to 3E USA (collectively, “Submissions”), you grant 3E USA a worldwide, non-exclusive, royalty-free, perpetual license to use, reproduce, modify, and publish those Submissions for legitimate business purposes (e.g., customer support, product improvement, marketing), unless prohibited by law. Do not submit confidential or proprietary information.

15. Third-Party Links

The Site may contain links to third-party sites. 3E USA does not control and is not responsible for third-party content, policies, or practices. Access to third-party sites is at your own risk.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, 3E USA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOSS OF DATA, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATING TO THE SITE, MATERIALS, OR PRODUCTS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, 3E USA’S TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID TO 3E USA FOR THE PRODUCT(S) GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

17. Indemnification

You agree to defend, indemnify, and hold harmless 3E USA, its affiliates, and their respective directors, officers, employees, and agents from and against claims, damages, liabilities, losses, and expenses (including reasonable attorneys’ fees) arising from your misuse of the Site, violation of these Terms, or violation of any law or third-party right.

18. Force Majeure

3E USA is not responsible for delays or failure to perform due to events beyond its reasonable control, including acts of God, war, terrorism, labor disruptions, supply chain disruptions, carrier delays, or governmental actions.

19. Assignment

3E USA may assign these Terms in whole or in part. You may not assign your rights or obligations without 3E USA’s prior written consent.

20. Severability; No Waiver

If any provision of these Terms is held unenforceable, the remaining provisions remain in full force. Failure to enforce any provision is not a waiver of future enforcement.

21. Governing Law; Venue

These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms, the Site, or purchases shall be brought exclusively in the state or federal courts located in Florida, and you consent to their jurisdiction and venue.

22. Privacy

Your use of the Site is also governed by the Privacy Policy posted on the Site, incorporated by reference.
